                              Terms and Conditions
                              --------------------

        Product Evaluation
            For Workstation platforms, RTA will issue a single copy of a
            product upon a 30 days sale or return basis, providing  that
            the Software Licence has been completed and upon payment  of
            20% of the full purchase price. This shall be construed as a
            re-stocking  charge  if  the  goods  are   returned   in   a
            re-merchantable  condition,  otherwise  the  remainder  will
            become payable. Free demo version for MS  DOS  is  available
            (see the "Free Demo Version" section).

        Support
            All products have RTA support  amortised  into  the  package
            purchase price. RTA support is for a period of 12 months for
            individual products of value GBP #500 or more, and  60  days
            otherwise. RTA provides hotline telephone  support  and,  as
            necessary, written solutions to programming difficulties. In
            the  case  of  any  continuing  problems,  a  full   written
            description of the problem is required from the customer.

       Upgrades
            Upgrade to a latest version of the software is available  at
            20%  of  the  original  licence  cost,  and   includes   new
            software/documentation as appropriate.  Multiple  users  are
            treated as a single user  and  only  one  copy  of  any  new
            upgrade will be provided.

       Educational Discount
            For Workstation and Personal Unix platforms  an  educational
            discount of  50%  is  available  to  recognised  educational
            establishments. The educational discount  is  not  available
            for  evaluation  copies.  For  educationalists,  a   special
            unlimited site  licence  is  available  at  GBP  #10000,  to
            include for up-to five mixed platforms (including  PC).  The
            package contains 1 master copy of the software for  each  of
            the hardware platforms, and  1  copy  of  the  generic  user
            manual, with free permission to duplicate  for  college  use
            only.

        Student Discount
            For Personal Computer platforms, a student discount  of  20%
            is available. Students must provide an official letter  from
            the College  or  University  confirming  full  time  student
            status and payment must be made in advance.

        Postage and Packing
            Charged at cost. UK and EC customers will be charged VAT  at
            the standard UK rate. Delivery is usually by courier to both
            UK and overseas sites. EC customers who are  registered  for
            VAT should quote their VAT registration number on any  order
            to avoid paying UK VAT. Customers are  responsible  for  the
            payment of any local import taxes/duties.

                          Calculating The Licence Cost
                          ----------------------------

        The total licence cost can be calculated by multiplying the Base
        Cost by the Cost Factor which is determined  by  the  number  of
        machines licensed to run the software for single  user  systems,
        or  the  maximum  number  of  concurrent  users  for  multi-user
        systems. For licenses which fall between two bands in the  above
        chart, a new Cost Factor can be calculated by  adding  the  Cost
        Factor of the lower licence band to  the  number  of  additional
        units multiplied by the incremental cost per additional unit.

        For  mixed  platforms  licence,  cost   should   be   calculated
        separately for every particular platform.

        Example 1

            A University would like to purchase a 25  user  licence  for
            SUN Sparc under Solaris  2.0  and  a  10  user  licence  for
            Silicon Graphics Indigo. First calculating the price for SUN
            workstations. Base cost for the Workstation platform is  GBP
            #800 or USD $1200. Cost factor for 20  user  licence  is  8,
            incremental cost factor  is  0.2  for  5  additional  users,
            therefore total cost factor is 8+0.2*5 = 8+1 =  9  giving  a
            cost  9*#800  =  #7200.  Similarly,  for  Silicon   Graphics
            workstations base cost is GBP #800, cost factor for 10 users
            is 5,  therefore  cost  is  5*#800  =#4000.  Total  cost  is
            #7200+#400 = #11200, less educational discount of  50%  will
            give GBP #5600 or USD $8400.

        Example 2

            A School would like to purchase a 15 user licence for IBM PC
            under MS DOS (16 bit). Base cost for the  Personal  Computer
            platform is GBP #150 or USD $230. Cost factor  for  10  user
            licence  is  5,  incremental  cost  factor  is  0.3  for   5
            additional users, therefore total cost factor is  5+0.3*5  =
            5+1.5 = 6.5. Total price is 6.5*#150  =  #975,  and  because,
            educational discount for the Personal Computer  platform  is
            not available total price will be GBP #975 or USD $1495.

        Example 3

            A Student would like to purchase a single user  licence  for
            IBM PC under OS/2 2.1. Base cost for the  Personal  Computer
            platform is GBP #150 or USD #230, less 20% student  discount
            will give GBP #120 or USD $184.

        A free demo for MS DOS is available on Internet ftp  sites.  and
        CompuServe It is 132K PKZIP 2.04g  archive.  To  decompress  the
        archive, type at MS DOS prompt

        To access from CompuServe, type "GO PCVENH" (PC Vendor H  forum)
        at any "!" CompuServe prompt. The file is  placed  in  the  "RTA
        Ltd" library.
